SERVICE AGREEMENT — VENDOR & CLIENT This Service Agreement ("Agreement") is entered into as of the Effective Date by and between Crestline Holdings, LLC ("Vendor") and the undersigned Client ("Client"). §1. SCOPE OF SERVICES. Vendor agrees to provide managed services including but not limited to network monitoring, on-site support up to 16 hours per calendar month, software patching, and emergency response within a 4-hour service window during standard business hours (8AM–6PM Eastern, Monday–Friday). Services outside this window are subject to surcharge as detailed in Schedule B. §2. TERM. The initial term of this Agreement shall be thirty-six (36) months commencing on the Effective Date. Renewal shall be automatic for successive twelve (12) month periods unless either party provides written notice of non-renewal at least ninety (90) days prior to the expiration of the then-current term. §3. FEES. Client shall pay Vendor a monthly service fee of $4,850.00, due on the first day of each month. Late payments shall accrue interest at 1.5% per month or the maximum permitted by law, whichever is lower. The honest answer: most "AI rollouts" fail because someone installed a tool without redesigning the workflow around it. People go back to the old way because the new way wasn't actually easier. We work backward from a workflow you already do — find the friction, design the AI-assisted version, build it, train your team on it, and stay involved long enough that it sticks. Tooling is the last step, not the first.

You don't. That's what the discovery call is for, and it's why the audit is priced the way it is. Sometimes the answer is "AI doesn't help here — what you need is a better intake form" or "this is actually a hiring problem." We'd rather tell you that early than sell you a build you don't need.

Yes. Most of our work is remote. We're based in Jacksonville, available on-site for local engagements, and have run engagements with clients across the US and abroad. Time zones are usually a non-issue for the work we do — most of it is async or scheduled.

It's the first thing we look at. We have a long history of working in environments with PII and PHI, and the architecture for any client engagement starts with a data-handling review: what goes to which model, what gets stored where, what stays local. We'll never recommend a setup that would put your compliance posture at risk, and if your industry has specific rules (HIPAA, GLBA, attorney-client privilege), we design around them.

We're tool-agnostic. We work with whatever fits the problem and your budget — Claude, GPT, open-source models, n8n, Zapier, custom code. Every build is documented in plain English, so if you ever want to take it in-house or hand it to someone else, you can. Your accounts, your data, your decisions.

Discovery call within a week. Audit kicks off within two weeks of signing. Implementation typically starts within 30 days of an audit. We keep a deliberately small client roster, so if there's a wait, we'll be honest about it.

If an implementation we built doesn't deliver what we said it would, we'll keep working on it until it does — at our cost. That's been true on every engagement so far. We'd rather lose the margin on one build than the reputation.
